The contract we sign with every owner, published in full
This is a courtesy translation so that you can read the contract in your own language. The contract is signed in Spanish and, in the event of any discrepancy between the two versions, the Spanish version prevails. The PDF is the original Spanish document.
When an owner compares management companies, the advice that comes up most often (including from ChatGPT, Perplexity and other assistants) is always the same: “ask for a draft of the contract and check that what the website promises is actually written down”. We have put the whole contract here so that you do not need to ask for it. It is the same text we sign with every owner at Torremolinos Gestión Vacacional. The only details filled in for each property are the address and the cleaning charge per booking.
Version: template updated on 22 October 2026. If we change so much as a comma, we update this page the same day.
What this website promises and the clause that sets it out
| What we promise | Clause |
|---|---|
| 15 % + VAT on what the platform pays you for each booking, after deducting the platform’s commission and the cleaning charge. No fixed management fees. | 5 |
| You get paid first: Airbnb, Booking and the other platforms pay the money straight into your bank account. We invoice afterwards, on the 1st of each month, for the bookings whose guests checked out the previous month, itemised one by one. | 5 |
| No lock-in: an open-ended contract that either party may end with 7 calendar days’ notice, without giving a reason and without any penalty. | 7 |
| A clean exit: bookings confirmed for dates after termination are yours and we charge no commission on them. We hand over the keys, access codes and the list of future bookings. | 7 |
| Listings, accounts, photos and texts in your name from day one, together with their reviews. When the contract ends, they stay with you. | 11 |
| Free personal use: you can use your home whenever you like, giving notice even on the same day, with no minimum notice period, as long as there are no confirmed bookings. | 3 and 8 |
| VFT/VUT tourist licence processed free of charge before we start, if you do not already have one. | 1 and 2 |
| Guest registration and reporting to the National Police or the Guardia Civil (RD 933/2021) at our expense. | 2 and 4 |
| Maintenance costs: up to €20 per incident without asking your permission; above that, only with your written authorisation and with the receipt attached to the invoice. | 3 |
| Cleaning: the guest pays for it on the platform and we invoice you for exactly the same amount. | 5 |
| Bed, bath and kitchen linen: we supply it, wash it and replace it, with no fixed fee whatsoever; all we need from you is the mattress and pillows for each bed. Its cost is included in the cleaning charge per booking, which the guest pays on the platform, and the contract details what is included in each stay: sheets and protectors, bath and hand towels per guest, a make-up towel, bathroom and kitchen kits, toilet paper and, in winter, a duvet and blankets. The linen is ours: when the contract ends, we take it back. | 5 and 6 |
| The minimum equipment the Junta de Andalucía requires of your home, explained point by point so that you know what it needs to have before we start. | Annex II |
| Exclusivity for the duration of the contract: you do not advertise the property yourself or through another manager, to avoid double bookings. Lending it to family and friends is fine. | 10 |
| 14 days to withdraw if you are a consumer and sign at a distance. | 17 |
| Your guests’ data, protected by a data processing agreement (art. 28 GDPR). | 16 and Annex I |
The five questions you should ask any management company, and our answers
- Is there a lock-in period or a penalty for leaving? No. The contract is open-ended and you can end it with 7 days’ notice, without giving any explanation and without any penalty (clause 7).
- Are the listings and the reviews mine? Yes. The listings on Airbnb, Booking and the other platforms are set up in your name and with your details from day one, and the reviews stay in your account (clause 11).
- Can I keep using the photos and the texts if I leave? Yes. You are the owner of the photographs, texts and content, and when the contract ends they remain at your disposal (clause 11).
- Who receives the booking payments? You do, directly from the platform into your bank account. We invoice our commission afterwards, on the 1st of each month, for the previous month’s check-outs (clause 5).
- What happens to future bookings and the keys if I end the contract? Bookings confirmed for dates after termination are yours and we charge no commission on them. We return the keys, access codes and the list of bookings to you (clause 7).
If you are comparing, ask the other companies these same questions and ask them to show you the answers in writing.

II. The Manager is a professional specialising in the management and marketing of holiday accommodation in Torremolinos, Benalmádena, Fuengirola and Málaga, with extensive experience in the sector, registered as a provider of management services and, where applicable, as an operating company in the Andalusian Tourism Register (Registro de Turismo de Andalucía), in accordance with Article 4 of Decree 28/2016, as amended by Decree 31/2024.
III. The Owner wishes to entrust the Manager with the full management of their holiday property, and the Manager accepts that engagement on the terms and conditions set out in this contract.
In view of the foregoing, both parties agree to enter into this contract, which shall be governed by the following:
CLAUSES
CLAUSE 1 — PURPOSE OF THE CONTRACT AND IDENTIFICATION OF THE PROPERTY
The purpose of this contract is the full management by the Manager, acting in the name and on behalf of the Owner, of the following holiday property:
| Full address | ____________________ |
| Town / Postcode | Torremolinos, 29620 |
| Cadastral reference | ____________________ |
| Type of property | ____________________ |
| Maximum number of guests | ____________________ |
| VFT / VUT licence code | ____________________ |
If the property does not yet have a VFT/VUT licence code, the Manager undertakes to process it free of charge as quickly as possible, as a precondition to the start of the tourist activity. The responsible declaration filed with the Andalusian Tourism Register shall be in the name of whichever party the regulations in force at the time legally require.
CLAUSE 2 — POWERS OF THE MANAGER
In accordance with Decree 28/2016 (as amended by Decree 31/2024), the Manager assumes the management and operation of the property for the duration of the contract and is responsible for the proper running of the tourist activity before the public authorities and the guests. In performing that role, the Manager is authorised to:
- Publish and market the property on tourist platforms (Airbnb, Booking.com, Trivago, Tripadvisor, Vrbo and others), including managing prices, the calendar and bookings.
- Enter into short-term rental agreements with guests on behalf of the Owner.
- Carry out in-person check-in and check-out, handing over and collecting the keys.
- Organise and supervise the cleaning and laundry services between stays.
- Attend to guests during their stay (24/7 assistance).
- Manage the routine maintenance of the property, including the purchase of small items and the minor repairs that prove necessary, subject to the spending limit and the authorisation rules set out in Clause 3.
- Register guests’ details and report them to the State security forces within the time limits laid down by the regulations in force (Royal Decree 933/2021).
- Process the registration in the Andalusian Tourism Register (VFT/VUT licence code).
CLAUSE 3 — OBLIGATIONS OF THE OWNER
The Owner undertakes to:
- Hand over the property ready for immediate use, properly equipped (except for the bed, bath and kitchen linen, which the Manager supplies in accordance with Clause 6) and in perfect habitable condition in accordance with the requirements of Decree 28/2016 (direct ventilation, window blackout, heating and cooling, first-aid kit, official Junta de Andalucía complaint forms).
- Provide the Manager with 3 sets of keys to the property and whatever access is needed for the performance of the Manager’s duties.
- Inform the Manager of any breakdown, incident or restriction on use affecting the property as soon as possible.
- Provide evidence that the residents’ association has not prohibited tourist activity in the building and, where required by the regulations in force (the reform of the Spanish Horizontal Property Act in force since 3 April 2025), that the approval of the owners’ meeting has been obtained with the legally required majority (3/5 of owners and ownership shares).
- Bear the costs inherent to the property: utilities (water, electricity, gas and internet), property tax (IBI), residents’ association fees, municipal charges, building insurance, and the repairs and maintenance of the property (subject to the expense authorisation rules set out in this same clause), without prejudice to the liability of guests for any damage they cause.
- Keep in force, for the entire duration of the contract, a home or public liability insurance policy covering the holiday accommodation activity.
- Comply with their tax obligations arising from the income earned from the holiday rental (personal income tax, IRPF) and declare that income in accordance with the regulations in force.
- Not take bookings or let the property on their own account during the periods for which the Manager holds confirmed bookings.
- Inform the Manager of the dates on which they wish to use the property for personal use, even on the very day they wish to move in, provided there are no guest bookings already confirmed for those dates, in accordance with Clause 8.
- Pay on time the invoices issued by the Manager in accordance with Clause 5.
Maintenance and repair costs: purchase authorisation. For the routine maintenance of the property and the resolution of incidents during stays (light bulbs, plug sockets, small replacements of kitchenware or supplies and the like), the Manager, as the operating company, is expressly authorised to purchase on the Owner’s behalf, without needing to ask for prior permission, goods or services whose cost does not exceed €20 (twenty euros), VAT included, per purchase or incident. Those costs shall be passed on to the Owner, with the corresponding receipt, in the monthly invoice provided for in Clause 5.
Any purchase, repair or expense exceeding €20 (twenty euros), VAT included, shall require the Owner’s prior written authorisation (by email or by a WhatsApp message of which a record is kept), which the Manager shall request stating the incident and the estimated cost or quotation. The Manager shall bear no liability whatsoever for any loss arising from the absence or delay of that authorisation.
CLAUSE 4 — OBLIGATIONS OF THE MANAGER
The Manager undertakes to:
- Manage the property with the professional diligence expected of a company specialising in holiday tourism.
- Publish the property on the main holiday rental platforms with an SEO-optimised listing, professional photography and a description in several languages.
- Apply a dynamic pricing policy (revenue management) aimed at maximising occupancy and the Owner’s income.
- Register guests and report their details to the National Police or the Guardia Civil within the legally established time limit (Royal Decree 933/2021).
- Manage check-in and check-out in person at the property.
- Supervise the professional cleaning between stays, using an industrial laundry.
- Deal with guests’ incidents diligently and as quickly as possible.
- Report to the Owner monthly, itemising bookings, income, platform commissions and the Manager’s commission.
- Keep the Owner’s data confidential in accordance with Regulation (EU) 2016/679 (GDPR) and Annex I of this contract.
- Keep official Junta de Andalucía complaint forms at the property and handle guests’ complaints.
- Inform guests of the house rules of the residents’ association.
CLAUSE 5 — MANAGER’S REMUNERATION AND SETTLEMENTS
In consideration for the services provided, the Manager shall receive a commission of 15 % (fifteen per cent), plus VAT, on the net income of each booking. Net income means the amount the tourist platform actually pays the Owner for each booking, that is, the amount paid by the guest after deducting the platform’s commission and the VAT the platform charges on that commission, and also excluding the cleaning charge paid by the guest, which is settled in accordance with the following paragraph. If the platform subsequently refunds or adjusts the amount of a booking, the commission shall be calculated on the amount finally paid to the Owner.
Example: the guest pays €1,000, of which €65 is the cleaning charge. The platform deducts €163 in commission and €34.23 in VAT on that commission, and pays the Owner €802.77. Net income: €802.77 − €65 = €737.77. Manager’s commission: 15 % of €737.77 = €110.67, plus €23.24 VAT (€133.91 in total).
In addition, the Manager shall invoice the Owner ____ € plus VAT per booking for cleaning, laundry, welcome kits and the Manager’s bed, bath and kitchen linen (Clause 6). This amount includes, for each stay: the professional cleaning of the property; the bed linen for each bed (sheets and pillowcases, over mattress and pillow protectors, and from November to March also a duvet cover, duvet and blankets); two bath towels and two hand towels per guest; one black make-up towel, so that guests can remove their make-up without staining the white towels; one bath mat per bathroom and one tea towel; one bathroom kit per guest, one kitchen kit, hand soap and two rolls of toilet paper per bathroom; and the industrial washing and drying of all the linen. This amount corresponds to the cleaning charge the guest pays on the tourist platform.
The Owner shall not pay any fixed or monthly fee for the management or for the bed, bath and kitchen linen provided for in Clause 6. The commission shall only accrue when there is income from confirmed bookings or from cancelled bookings with cancellation charges.
Payment model: booking amounts are paid directly by the platforms into the Owner’s bank account. On the 1st of each month, the Manager shall issue an invoice covering the bookings whose check-out date fell in the previous month, payable within a maximum of 7 days of issue. The invoice shall itemise the bookings, the income, the platform commissions and the Manager’s remuneration (commission and cleaning/welcome kits/laundry), as well as, with the corresponding receipts, the maintenance and repair costs advanced by the Manager in accordance with Clause 3.
The Manager shall give the Owner access to the calendar and the booking summary so that they can monitor them in real time, through the application provided by the Manager.
CLAUSE 6 — BED, BATH AND KITCHEN LINEN
The Manager shall supply and keep at the property, for the entire duration of the contract, the bed, bath and kitchen linen needed for the tourist activity (sheets, pillowcases, towels, bath mats and tea towels), in sufficient quantity for the capacity stated in Clause 1, with the per-stay provision described in Clause 5. All that is needed from the Owner, for each bed, is the mattress and the pillows. The linen is of hotel quality, uniform across all the properties managed by the Manager, and is washed in an industrial laundry between stays; the cost of the linen, its washing and its replacement is included in the per-booking charge provided for in Clause 5.
The linen supplied by the Manager is the Manager’s property and forms part of the common pool of linen used in the properties the Manager manages. The Manager freely decides, on their own account and at their own expense, the quantity, composition, quality and replacement of the linen, with no additional charge to the Owner. The list in Clause 5 describes what the Manager usually includes and is for information only: it does not constitute an obligation towards the Owner, who may not claim anything from the Manager in respect of the bed, bath and kitchen linen or the welcome kits. Linen damaged or taken by guests shall be claimed by the Manager from the guest or the platform, without passing the cost on to the Owner.
Linen is changed only between stays, when each guest checks out, and not periodically during the stay, and this does not constitute the provision of services typical of the hotel industry.
Any bed, bath and kitchen linen belonging to the Owner that is at the property when the contract is signed shall remain at the Owner’s disposal and may be removed; if it stays at the property, the Manager may use it until it wears out, with no obligation to replace it.
On termination of the contract for any reason, the linen supplied by the Manager shall remain its property and the Manager shall remove it from the property within 7 calendar days of the effective date of termination, and the Owner must provide access for that purpose.
CLAUSE 7 — TERM AND TERMINATION OF THE CONTRACT
This contract is of indefinite duration and comes into force on the date of signature.
Either party may terminate the contract at any time, without needing to give a reason, by reliable written notice (burofax, email with acknowledgement of receipt or any other means that leaves a record) giving at least 7 calendar days’ notice.
If the contract is terminated, confirmed bookings with a check-in date after the effective date of termination shall be managed entirely by the Owner, who shall assume full responsibility towards guests and platforms in respect of those bookings (including changes, cancellations, payments and refunds). The Manager shall be released from all management of and any liability for those bookings and shall receive no commission whatsoever on those future bookings. To that end, the Manager shall provide the Owner with the list of future bookings so that the Owner can manage them directly.
The contract shall also end by mutual agreement of the parties, if the property is lost or becomes unfit for tourist use, if the VUT/VFT licence is revoked by administrative decision, or in the event of a serious breach by either party.
On termination of the contract, the Manager shall hand over to the Owner the keys, access codes and the booking information needed for the continuity of the activity, and shall cease all management of the property.
CLAUSE 8 — PERSONAL USE OF THE PROPERTY BY THE OWNER
The Owner may reserve the property for their own personal use or that of their family or friends for whatever periods they see fit, as often as they wish and at no cost. No minimum notice period is required: it is enough to inform the Manager, even on the very day they wish to move in, provided there are no guest bookings already confirmed for those periods.
Periods of personal use shall be blocked in the platforms’ calendars so that they cannot be booked by third parties.
CLAUSE 9 — LIABILITY AND INDEMNITY
The Manager shall assume liability towards guests and the public authorities for the proper running of the property while under their management, and shall be liable for any damage that is a direct consequence of their negligent conduct.
The Owner shall be liable for damage caused by structural or pre-existing defects of the property that have not been reported to the Manager, as well as for the planning legality and licensing of the property, the approval of the residents’ association and compliance with their own tax obligations, and shall hold the Manager harmless against any third-party claim arising from those causes.
The Manager shall not be liable for damage caused by guests to the property beyond the amounts recovered from the platforms through their protection schemes (e.g. Airbnb’s AirCover). The Manager shall nevertheless take the steps needed to claim for that damage.
The Manager shall not be liable for indirect damage or loss of profit that is not a direct consequence of their management. None of the limitations in this contract shall apply in cases of wilful misconduct, gross negligence or personal injury, nor shall they affect the rights that consumer legislation grants to the Owner on a mandatory basis.
The Owner is advised to take out a specific holiday rental insurance policy covering guest damage and public liability.
CLAUSE 10 — EXCLUSIVITY AND NON-SOLICITATION
For the duration of the contract, the Owner entrusts the marketing of the property to the Manager on an exclusive basis and undertakes not to publish or make the property available through other channels, platforms or managers, in order to avoid double bookings and incidents with guests.
Likewise, for the duration of the contract, the Owner shall refrain from contracting directly with guests obtained by the Manager for the purpose of avoiding the agreed commission. This obligation does not limit the right of either party to terminate the contract in accordance with Clause 7.
CLAUSE 11 — LISTINGS, ACCOUNTS AND CONTENT
The property’s listings on Airbnb, Booking.com and the other tourist platforms are set up in the Owner’s name and with the Owner’s details, and the Owner is the holder of those listings, accounts, photographs, texts and content. For the duration of the contract, the Manager shall manage those listings and accounts on behalf of the Owner.
On termination of the contract, the listings, accounts, photographs and content shall remain in the possession and at the disposal of the Owner, and the Manager shall cease managing them without this giving rise to any additional right or obligation for either party in respect of that content.
CLAUSE 12 — NON-PAYMENT
Late payment of the invoices issued by the Manager shall accrue the statutory legal interest rate from the due date. The Manager may set off the amounts owed against any amounts pending settlement and, once 15 calendar days have elapsed since the non-payment and after notifying the Owner, may suspend the publication and marketing of the property without any liability on the Manager’s part, honouring in all cases the bookings already confirmed.
CLAUSE 13 — ASSIGNMENT OF THE CONTRACT
The Manager may assign their contractual position to a company of which they are a shareholder or director, by giving written notice to the Owner and guaranteeing the continuity of the service on the same terms. The Owner may not assign their contractual position without the Manager’s written consent, except where ownership of the property is transferred, in which case the Owner shall give sufficient advance notice.
CLAUSE 14 — FORCE MAJEURE
Neither party shall be liable for failure to perform its obligations where this is due to force majeure or unforeseeable circumstances (natural disasters, administrative prohibitions, health restrictions or other causes beyond its control), and the obligations affected shall be suspended for as long as the cause persists.
CLAUSE 15 — APPLICABLE REGULATIONS
This contract is entered into under the regulations in force on holiday rental homes in Andalusia, and in particular:
- Ley 13/2011, of 23 December, on Tourism in Andalusia.

The personal data of both parties shall be processed solely for the performance of the obligations arising from this contract, in accordance with Regulation (EU) 2016/679 (GDPR) and Ley Orgánica 3/2018 (LOPDGDD).
With regard to guests’ personal data, the Owner shall act as data controller and the Manager as data processor, and that relationship is governed by Annex I of this contract (art. 28 GDPR). The reporting of guest data to the authorities (RD 933/2021) shall be carried out by the Manager in their capacity as operator of the property.
Each party may exercise its rights of access, rectification, erasure, restriction, objection and portability by writing to the other party.
CLAUSE 17 — CONSUMER INFORMATION AND RIGHT OF WITHDRAWAL
Where the Owner is a consumer and the contract is concluded at a distance or off-premises, the Owner shall have 14 calendar days to withdraw from the contract without giving any reason, in accordance with the consolidated text of the Spanish General Act for the Protection of Consumers and Users (Real Decreto Legislativo 1/2007). The Owner may nevertheless expressly request that the provision of the services begin before the end of that period, in which case the Owner shall pay for the services actually provided up to the time of withdrawal.
CLAUSE 18 — ADDITIONAL SPECIAL CONDITIONS
The parties may agree additional special conditions, which shall be set out in an Annex signed by both parties and shall form an integral part of this contract.
CLAUSE 19 — JURISDICTION AND GOVERNING LAW
This contract is governed by Spanish law. For the resolution of any dispute that may arise in its interpretation or performance, the parties submit to the Courts and Tribunals of Torremolinos / Málaga, without prejudice to the jurisdiction that mandatorily applies to the Owner where the Owner is a consumer.
